Srutam.com may at any time, terminate its legal agreement with you with or without assigning any reason.

Submission of Website to Srutam.com for inclusion in the Site Directory

Unless otherwise specified in a separate and written agreement, Srutam.com does not give any guarantee when the submitted websites will be added or how they will be added or where they will be added or what description will be provided for the sites that are added to the directory. Sites will be verified and added at our convenience. Links may be removed from the Site Directory without any notice or reason from time to time. Where Srutam.com charges special fees for site submission services, Srutam.com shall adhere to the additional terms and conditions specified in such cases.

Warranty Disclaimer

Srutam.com FURTHER EXPRESSLY DISCLAIMS ALL WARRANTIES AND CONDITIONS OF ANY KIND, WHETHER EXPRESS OR IMPLIED, INCLUDING, BUT NOT LIMITED TO THE IMPLIED WARRANTIES AND CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

Limitation of Liability

IN NO EVENT SHALL Srutam.com BE LIABLE, WHETHER IN CONTRACT, TORT (INCLUDING NEGLIGENCE) OR OTHERWISE, FOR:

1. ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL CONSEQUENTIAL OR EXEMPLARY DAMAGES WHICH MAY BE INCURRED BY YOU, HOWEVER CAUSED AND UNDER ANY THEORY OF LIABILITY. THIS SHALL INCLUDE, BUT NOT BE LIMITED TO, ANY LOSS OF PROFIT (WHETHER INCURRED DIRECTLY OR INDIRECTLY), ANY LOSS OF GOODWILL OR BUSINESS REPUTATION, ANY LOSS OF DATA SUFFERED, COST OF PROCUREMENT OF SUBSTITUTE GOODS OR SERVICES, BUSINESS INTERRUPTION EVEN IF NOTIFIED IN ADVANCE OF SUCH POSSIBILITY) OR OTHER INTANGIBLE LOSS.

2. ANY LOSS OR DAMAGE WHICH MAY BE INCURRED BY YOU, INCLUDING BUT NOT LIMITED TO LOSS OR DAMAGE AS A RESULT OF:

(I) ANY RELIANCE PLACED BY YOU ON THE COMPLETENESS, ACCURACY OR EXISTENCE OF ANY ADVERTISING, OR AS A RESULT OF ANY RELATIONSHIP OR TRANSACTION BETWEEN YOU AND ANY ADVERTISER OR SPONSOR WHOSE ADVERTISING APPEARS ON THE SERVICES;

(II) ANY CHANGES WHICH Srutam.com MAY MAKE TO THE SERVICES, OR FOR ANY PERMANENT OR TEMPORARY CESSATION IN THE PROVISION OF THE SERVICES (OR ANY FEATURES WITHIN THE SERVICES);

(III) THE DELETION OF, CORRUPTION OF, OR FAILURE TO STORE, ANY CONTENT AND OTHER COMMUNICATIONS DATA MAINTAINED OR TRANSMITTED BY OR THROUGH YOUR USE OF THE SERVICES;

(III) YOUR FAILURE TO PROVIDE Srutam.com WITH ACCURATE ACCOUNT INFORMATION;

(IV) YOUR FAILURE TO KEEP YOUR PASSWORD OR ACCOUNT DETAILS SECURE AND CONFIDENTIAL;

THE LIMITATIONS ON Srutam.com'S LIABILITY TO YOU SPECIFIED HEREIN UNDER "THE LIMITATIONS OF LIABILITY" SHALL APPLY WHETHER OR NOT Srutam.com HAS BEEN ADVISED OF OR SHOULD HAVE BEEN AWARE OF THE POSSIBILITY OF ANY SUCH LOSSES ARISING.

Remedies

The sole and exclusive remedy of any party against Srutam.com by reason of a breach or default by Srutam.com of any of its obligations shall be a return of any fees which have been paid to Srutam.com by such party.

Jurisdiction

This agreement shall be governed by and construed in accordance with the substantive laws of the United States and the laws of the state of OHIO, without regard to its conflict and laws provisions. You and Srutam.com agree to submit the exclusive jurisdiction of the courts located within the city of Columbus, Ohio, to resolve any legal matters arising from the Terms and any action shall be initiated and maintained exclusively in a forum of competent jurisdiction in Columbus, Ohio. Notwithstanding this, you agree that Srutam.com shall still be allowed to apply for injunctive remedies (or an equivalent type of urgent legal relief) in any jurisdiction.
